We are hiring a critical team member to joinEdifecsLegal team asSeniorCounsel, CommercialTransactions. Youwill play a vital role inEdifecsgrowth. The ideal candidate will possess strong in-house experience inhealthcare software transactions.

For this position,you will execute on a variety ofcomplex commercial contracts.The successful candidate will be ready to navigate a growth-oriented, rapidly changing, and sometimes ambiguous environment. This person will be comfortable juggling multiple tasks under tight deadlines and must be a strong writer and communicator at senior levels of the organization. A passion for personal accountability and setting high standards is essential for success.

This is a temporary3-6 monthposition, with the possibility of an extension.

What you will do:

  • Review and negotiate complex customer-facingcontracts that meetEdifecsrequirements under its policies, including those for risk tolerance, while working collaboratively with thebusiness teams.
  • Strong experiencedraftingoriginal legal provisions outside of form documents, which includes the ability to identify legal issues independently.
  • Collaborateand partnerwithsales, services, product,security, andother business units at all levels throughout the organization to ensure thatcustomer contractsadequately protectEdifecsinterests.
  • Support the continuous improvement of standard forms of agreement and legal processes.
  • Be a trusted business partner, responding in a timely and productive manner to requests from internalstakeholders.
  • Counsel internalstakeholdersregarding company policies, legal issues, and risk tolerance.
  • Assist with special projects as needed.

What you will bring:

  • JD Degree and active admission to practice law in a U.S. jurisdictionwhere you reside is required.
  • At least8+ years relevant experience at a major law firm and/orin-house, including negotiating technology agreements.
  • Proven proficiency inleadingnegotiations for customer-facingsoftware and cloudcontracts.
  • Familiarity with the HIPAAand changing landscape of US Privacy laws is required.
  • Ability to translate complex legal concepts intotimely,clear,concise, and business-focused legal advicefor internalstakeholders.
  • Commitment to customer service(yes, our internal stakeholders arealsoour customers)and meeting the needs ofinternalstakeholders.
  • Self-starter and ability to manage change within a fast-pacedorganization.
  • Excellent project management, organizational, analytical, and problem-solving skills.
  • Excellent at multitasking and managing competing priorities with little supervision.
  • Demonstrated ability to effectively and proactively provide sound legal advice, exercise good businessjudgement,and demonstrate business acumen.
